1. Who we are

LazyLister (formerly Reseller Toolkit, resellertoolkit.app) is a trading name of Vinted Resells Ltd, a company registered in England and Wales under company number 16344052, with its registered office at [REGISTERED OFFICE ADDRESS]. Our VAT number is 516 4243 10.

You can contact us at [email protected]. "We", "us" and "our" mean Vinted Resells Ltd. "You" means the person using LazyLister.

2. These terms

These terms apply when you create an account, buy a plan or use LazyLister. Our Privacy policy and our Refunds and cancellations policy form part of them. If you don't agree to these terms, please don't use LazyLister.

We are not affiliated with, endorsed by or connected to Vinted, Depop, eBay, TikTok, Instagram or any other marketplace or platform we mention. Their names and trademarks belong to their owners.

3. Who can use LazyLister

You must be at least 18 to buy a plan. If you're under 18, you may only use LazyLister with the permission of a parent or guardian, who must agree to these terms and manage any payment.

You can use LazyLister as a consumer or for a business. Some sections apply differently depending on which you are, and we say where.

4. What LazyLister does

LazyLister gives you access to AI tools, which we call employees. They help with reselling tasks such as checking suppliers, identifying items, estimating prices and costs, writing listings, drafting replies to offers, building bundles, spotting trends and turning listings into social posts. Every plan includes every employee that is live. Plans differ by how many tasks you can run each month. Employees marked "joining soon" on our website are not available yet, and will be added to every plan when they launch.

Everything LazyLister produces is a draft or an estimate for you to review. You decide what to buy, what to list, what price to set and what to send or post. LazyLister does not post, send or buy anything on your behalf.

5. AI results and your responsibilities

AI can get things wrong. Brand and item identification, prices, sold comparisons, costs, trend signals and supplier checks may be incomplete, out of date or inaccurate. Please check anything important before you rely on it, especially before you spend money.

A supplier check is not a guarantee that a supplier is genuine, solvent or safe to deal with. Always do your own checks before you pay anyone.

You are responsible for your listings, your stock and your dealings with buyers, suppliers and platforms. That includes following each platform's rules, describing items accurately, only selling items you are allowed to sell (never counterfeit or stolen goods) and keeping your own tax and business records.

LazyLister saves you time on reselling admin. It does not guarantee sales, profit or income. Your results depend on your stock, your effort and the market.

6. Your account

Give us accurate details and keep them up to date. Keep your login private. Your account is for you only: don't share it and don't resell access to it. If you think someone else has used your account, tell us straight away at [email protected].

7. Plans, prices and payment

We offer Part-time, Full-time and Round the clock plans, billed monthly or yearly. Each plan includes a monthly allowance of tasks. A task is one job for one employee, such as writing a listing or checking a supplier. Unused tasks don't roll over to the next month. The price, allowance and features of each plan are shown on our website when you buy. Prices are in US dollars and include VAT where it applies.

Payments are processed by Stripe. We never see or store your full card details.

Your plan renews automatically at the end of each billing period until you cancel. Before a yearly plan renews, we will email you a reminder.

To keep LazyLister fast and fair for everyone, we may limit use that is automated or clearly outside normal personal or business use, even within your allowance. Where we reasonably can, we'll contact you before we do.

8. Changing your plan

You can upgrade at any time. You pay the difference for the rest of your current billing period, and your bigger task allowance applies straight away. If you downgrade, the change takes effect from the start of your next billing period.

9. Price changes

We may change our prices. If a change affects your plan, we will tell you at least 30 days before it applies to you, and the new price takes effect from your next renewal after that notice. If you don't want to pay the new price, you can cancel before it applies.

10. Cancelling

You can cancel at any time from your account in two clicks, or by emailing [email protected]. Cancelling stops future renewals, and you keep access until the end of the period you have paid for. Our Refunds and cancellations policy explains your 14 day right to cancel and when refunds apply.

11. Acceptable use

You must not use LazyLister to:

• break the law or any marketplace or platform's rules;
• list, promote or source counterfeit, stolen or prohibited items;
• mislead, harass or defraud anyone;
• copy, scrape, reverse engineer, overload or attack our service;
• get around plan limits or share access with others; or
• submit content you don't have the right to use.

We may suspend or close an account that breaks these rules. Where we reasonably can, we'll warn you first and give you a chance to put things right. If we close your account because you have seriously or repeatedly broken these terms, we won't refund the rest of your billing period, except where the law says we must.

12. Your content

You keep ownership of the photos, text and other content you put into LazyLister, and of the results we generate for you, as far as the law allows. You give us permission to use your content only to provide LazyLister to you, keep it secure and fix problems. We don't sell your content. Our Privacy policy explains how we handle personal data.

13. Our content

LazyLister, including our software, design, name and logo, belongs to us or our licensors. You may use it only as these terms allow.

14. Changes to LazyLister

We keep improving LazyLister, so employees and features may change over time. If we make a change that significantly reduces what your plan includes, we'll tell you in advance, and you can cancel and receive a refund for any time you have paid for but not used.

15. Our responsibility to you

We aim to keep LazyLister available at all times, but it may sometimes be unavailable for maintenance or for reasons outside our control. We are not responsible for delays or failures caused by events outside our reasonable control.

For everyone: nothing in these terms limits our liability for death or personal injury caused by our negligence, for fraud, or for anything else that cannot be limited by law. If you are a consumer, nothing in these terms affects your legal rights.

If you are a consumer: we are responsible for loss or damage you suffer that is a foreseeable result of us breaking these terms or failing to use reasonable care and skill. We are not responsible for loss or damage that is not foreseeable.

If you use LazyLister for a business: we are not liable for any loss of profit, sales, business, goodwill or opportunity, or for any indirect or consequential loss. Our total liability to you in any 12 month period is limited to the amount you paid us in that period.

16. Complaints

If you're unhappy with anything, email [email protected]. We will reply within 3 working days and aim to put things right quickly.

17. Changes to these terms

We may update these terms, for example to reflect changes in the law or in LazyLister. We will give you reasonable notice of important changes by email or in your account. If you don't agree with a change, you can cancel before it takes effect.

18. Law and disputes

These terms are governed by the law of England and Wales. If you are a consumer, you can bring legal proceedings in the courts of England and Wales, or, if you live in Scotland or Northern Ireland, in the courts of your home country.
